Contractor is an INDEPENDENT CONTRACTOR, not an employee: Contractor controls how the work is done, provides their own tools, may serve other clients, receives an IRS Form 1099 (no withholding), and is responsible for their own taxes, insurance and licenses. No benefits, workers' compensation or unemployment coverage are provided by Company. 3. PAYMENT. $[amount] per [project/hour], invoiced [monthly]; payment within [15] days of invoice. 4. WORK PRODUCT. Deliverables created for Company under this agreement are Company's property on payment (work made for hire, with assignment as needed). 5. CONFIDENTIALITY. Contractor keeps Company's non-public business information confidential during and after the engagement. 6. TERM. Either party may terminate with [15] days' written notice; Company pays for work completed to the termination date. 7. NOTE: worker-classification rules (IRS common-law test; state ABC tests such as California AB 5) decide status regardless of labels — confirm this arrangement qualifies in your state.
